THE FLAVOR OF LOVE SEASON 3 VOTER CONTEST OFFICIAL GUIDELINES

To participate in this voting contest, you must be at least 18 years of age on or before August 1, 2007, and a legal U.S. citizen, a U.S. resident, or otherwise eligible to work in the United States. You are not eligible if you were an on-screen cast member in any season of Flavor of Love. You are not eligible if you or an immediate family member or anyone living in the same household as you is an Employee, shareholder, officer, director, agent, representatives, of any of the following entities: 51 Minds Entertainment, LLC, MTV Networks, Viacom International Inc., Pop Culture Productions, Inc., The Killswitch Collective, LLC, participating television stations, advertising agencies, corporate sponsors or any person or entity connected with the production or administration of this contest, or any of their respective parent companies, affiliates, subsidiaries, agents or representatives are not eligible. The winner will be filmed for the television program Flavor of Love - Season 3, so please do not enter this voting contest unless you agree to be on television as part of the program, including the marketing and promotion of the program. The winner will be required to sign customary likeness releases granting the producer of the program ("Producer") the rights to include his or her name, voice, likeness and any other related rights in the program. Refusal or failure to sign the required releases as required in these Official Guidelines will result in disqualification.

HOW TO VOTE AND MAKE COMMENTS:

To vote, click on the "Vote" link on the contestant's page. Voting is limited to 1 vote per person / per day. However, voters can make as many comments as they desire on the contestants' pages. To post a comment, click on the "Blog" link on any contestant's page, then click on any blog entry that that contestant has made and then click "Post a comment". The number of votes and comments for each voter will be electronically tabulated. Producer, MTV Networks, Viacom International Inc., Pop Culture Productions, Inc., The Killswitch Collective, LLC and each of their respective affiliates, subsidiaries, respective directors, officers, employees and agents are not responsible for any problems or technical malfunctions of any computer on-line systems, servers or providers, computer equipment, software, failure of email on account of technical problems or traffic congestion on the Internet or at any website, any human error which may occur in the processing of the votes or comments posted by any user, or any combination thereof, including injury or damage to participants' or to any other person’s computer related to or resulting from participating, uploading, or downloading materials in this contest. If, for any reason, the contest cannot be run as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Producer which corrupt or affect the administration, security, fairness, integrity or proper conduct of this contest, or if for any reason Producer deems it necessary, Producer reserves the right at Producer's sole discretion to cancel, terminate, modify or suspend the contest.

HOW TO WIN THE PRIZE:

The registered voter who has the highest cumulative total of votes cast and comments submitted during the Flavor of Love - Season 3 online casting contest between 9:00 a.m. PST, August 1, 2007 and 6:00 p.m. PST, September 4, 2007, will be selected as the winner of this voter contest.

WINNER SELECTION/NOTIFICATION:

The winner will be determined at 6:00 p.m. PST, September 4, 2007and will be contacted via e-mail. If there is no response within 24 hours of that e-mail being sent, or if he/she is found to be ineligible, or if he/she cannot or does not comply with these Official Guidelines, the winner will be disqualified and the registered voter with the next highest number of votes and comments cast will be selected as the winner and notified as provided above. The foregoing process will be repeated until a winner responds to the notification e-mail and is confirmed as the winner of the contest.

GIVEAWAY PRIZING DETAILS:

The winner will receive the following ("Prize") Roundtrip coach airfare to Los Angeles, California (Producer reserves the right to substitute ground transportation for air transportation if winner resides within 150 miles of Los Angeles, CA) One (1) night hotel accommodations (room and tax only) $40.00 for expenses An opportunity to tour the Flavor of Love house and an opportunity to meet Flavor Flav (subject to his schedule and the production schedule of the show)

THE APPROXIMATE RETAIL VALUE OF THE GIVEAWAY PRIZE IS $1,000.00

The tentative date for all prize fulfillment is on or before September 17, 2007, and this date is subject to change in Producer’s sole discretion. The total approximate retail value of the Giveaway is $1,000.00 (though may be significantly less depending on the cost of travel from the winner's location to Los Angeles). The actual retail value of the Prize depends on current market conditions at time of prize fulfillment. Producer reserves the right to substitute the Prize with a prize or prizes of comparable value. Some restrictions may apply. The winning voter must be available to travel on the dates selected by Producer or the winner will forfeit the Prize. In the event the winner is unable to travel on the required dates or does not meet all eligibility requirements in Producer’s sole discretion, the winner will be disqualified and a new winner selected. Any expenses which are not expressly set forth herein are the winner's sole responsibility. The value of the prize(s) may be taxable as income. The winner is required to comply with and is solely responsible for any and all applicable federal, state, local or other taxes that become due with respect to the Prize. By participating in this Contest, voters agree to be bound by these Official Guidelines and by the decisions of the Producer which are final in all matters relating to this Contest. The specifics of all elements of the Prize shall be solely determined by the Producer. The winner may not transfer or substitute any prize (or any part of a prize package) except with the Producer's written consent. Arrangements for the fulfillment of prizes will be made by Producer. The potential winning voter must sign (a) an affidavit of eligibility and release of 51 Minds Entertainment, LLC, MTV Networks, Viacom International Inc., Pop Culture Productions, Inc., The Killswitch Collective, LLC, participating television stations, advertising agencies, corporate sponsors or any person or entity connected with the production or administration of this audition/competition, or any of their respective parent companies, affiliates, subsidiaries, agents or representatives from any and all liability, claims, demands, and causes of action for personal injury and/or damage, theft, or loss suffered in connection with this Contest or the use or acceptance of the Prize or any portion thereof to be eligible for the Prize; and (b) a customary likeness release granting the right to use his or her name and likeness in connection with the program and for advertising and publicity purposes without additional compensation, and (c) any and all necessary forms and/or releases in Producer’s sole discretion, including without limitation a guest release; entry into this Contest constitutes each voter's agreement to sign such releases in the event such voter is the winner. The winner must also complete, all legal documents and return them to Producer within three (3) working days after receipt of such documents. Noncompliance will result in disqualification of the potential winning voter and an alternate winner, if necessary and in Producer’s sole discretion, will be selected from the remaining voters who cast votes on the casting website. The receipt by any winner of any of the Prize components of this Contest is conditioned upon compliance with any and all federal, state and local rules and regulations. ANY VIOLATION OF THESE OFFICIAL GUIDELINES BY ANY WINNER (AT PRODUCER’S SOLE DISCRETION) WILL RESULT IN SUCH WINNER’S DISQUALIFICATION AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED. Voters agree to waive any rights to claim ambiguity with the guidelines, and that the Producer shall have no responsibility or liability (including, but not limited to, liability for any property loss, damage, personal injury or death) in connection with participation in this Giveaway. Void where prohibited. All interpretations of the rules and decisions by Producer are final. Producer reserves the right at its sole discretion to disqualify any individual who tampers with the entry process or the operation of the Giveaway or website, including, without limitation any manipulation of the voting counts or technological measures in place to assure voting in compliance with these Official Guidelines; or who violates these Official Guidelines of the Contest; or who acts in a disruptive manner, or with intent to annoy, abuse, threaten or harass any other person or contestant.

CAUTION: ANY ATTEMPT BY A PARTICIPANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY MANIPULATE OR DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE GIVEAWAY WILL RESULT IN DISQUALIFICATION IN PRODUCER'S SOLE DISCRETION AND MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, PRODUCER RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. THE CALIFORNIA COURTS (STATE AND FEDERAL) SHALL HAVE SOLE JURISDICTION OF ANY CONTROVERSY REGARDING THE GIVEAWAY AND THE LAWS OF THE STATE OF CALIFORNIA SHALL GOVERN THE GIVEAWAY. EACH VOTER WAIVES ANY AND ALL OBJECTIONS TO JURISDICTION AND VENUE IN THE STATE AND FEDERAL COURTS IN LOS ANGELES, CALIFORNIA, AND HEREBY SUBMITS TO THE JURISDICTION OF THOSE COURTS.
