FLAVOR OF LOVE 3: ONLINE CASTING COMPETITION
ONLINE CASTING REQUIREMENTS
By participating in this casting process, you are consenting to be considered as a participant on a reality-based television program currently entitled "Flavor of Love - Season 3" (referred to herein as the "Program") that will be produced by 51 Minds Entertainment, LLC ( "51 Minds", "we", "us" or "Producer") for MTV Networks ("MTVN"), a division of Viacom International, Inc. ("Viacom") during the dates set forth herein. Do not apply if you do not want to be on the Program.
To be eligible as a participant for the Program, you must be female, 21 years of age or older on August 1, 2007, and a legal U.S. citizen, a U.S. resident, or otherwise eligible to work in the United States.
You are not eligible if you were an on-screen cast member in Flavor of Love, seasons 1 or 2.
You are not eligible if, as of August 1, 2007, you are a party to any type of contract for talent representation (for example, a talent agent or manager), a music recording contract, a talent contract, an acting contract, a merchandising contract, a music publishing contract or any other contractual arrangement that would prohibit you from entering into a talent contract, acting contract, and/or merchandising contract.
You are not eligible if you have been convicted of a felony.
You are not eligible if you, or an immediate family member or anyone living in the same household as you, is an employee, shareholder, officer, director, agent, representatives, of any of the following entities: 51 Minds Entertainment, LLC, MTVN, Viacom., Pop Culture Productions, Inc., Highly Evolved, LLC, participating television stations, advertising agencies, corporate sponsors or any person or entity connected with the production or administration of this audition/competition, or any of their respective parent companies, affiliates, subsidiaries, agents or representatives are not eligible.
THE CASTING PROCESS
Overview: This online casting process consists of a single round competition to select 5 cast members who will compete for Flavor Flav's love in the Program. Those chosen as winners of the competition will be revealed during a VH1 television special on a date to be determined in the future, or online.
How to participate in the competition: The only way to participate in the online casting process is to log on to the website www.flavoroflovecasting.com, create a user profile, upload a video and a still photograph of yourself prior to 6:00 p.m. Pacific Standard Time, September 4, 2007. Specifically, you need to do the following:
- 1. Create an online profile (which will include background & contact information, as well as required personal information), and agree to the standard Online Audition Application and Agreement as part of the registration process. Once completed, you will be allowed to classify yourself by choosing TAGS (categories) that best suit your personality: funny guy, hot guy, clueless but loveable guy, smart guy, or professional guy. TAG categories are used only as a means of identification and will not be used as one of the criteria in determining a winner. In other words, the individuals selected for the show may all have the same TAG or different TAGS, or any combination thereof - it is merely a way to identify yourself to the public.
- 2. Upload at least 1 still photograph of yourself.
- 3. Upload at least 1 video of yourself to serve as your introduction to the voting public.
- 4. Contestants are allowed to upload additional video and photo submissions. The number of videos you may upload is currently limited to a total of 5 and there is not currently a limit on the number of photographs; provided, Producer may changehe number of additional videos and/or photos you are allowed to submit at the sole discretion of Producer at any time. All video and photo submissions must abide by all content rules and requirements, and technical specifications.
- 5. GENERAL VIDEO GUIDELINES:
- Running Time: Your video should be shorter than 2 minutes running time. (Remember, you want to keep voters' attention!) Producer reserves the right to remove any video with a running time in excess of 2 minutes, but the decision of whether to remove or not to remove any video running longer than 2 minutes shall be made in Producer's sole and absolute discretion.
- Suggested Topics to Cover: This is your chance to show the public who you are. It is suggested that you cover the following topics in your video (but you are not limited to or bound by the following): Who are you and where are you from? Describe yourself... personality (party animal, mellow, smart, sincere, crazy?...) What do you do for a living, hobbies, life ambitions, etc. Tell us about a crazy date or romantic moment. Are you looking for love, and why? Why are you a perfect match for Flavor Flav? Why should we vote for you? When shooting your video submission, always look directly at camera.
- What Not To Do in Your Videos: Do not look towards or get distracted by written notes, friends, etc. Do not include any friends or relatives in your video - we want to see you. DO NOT ATTEMPT OR PERFORM ANY STUNTS. DO NOT DO ANYTHING THAT WILL INJURE YOURSELF, ANY OTHER PERSON OR ANIMAL. Videos that include anyone other than you or that include images of violence, stunts or injury to any person or animal are subject to removal from the site and may result in disqualification of the contestant.
- What Not To Include in Your Videos: Do not include material that is abusive, defamatory, obscene, pornographic, generally objectionable, in violation of copyright, trademark or other intellectual property rights. Any inclusion of material that is a violation of these rules, of the Online Audition Application and Submission Agreement, or of the Terms of Use, the Privacy Policy, and Copyright Policy will subject the video to removal from the site and may result in disqualification of the contestant. Producer will make the determination in its sole and absolute discretion as to whether any particular video violates any of the foregoing and is subject to removal and/or whether any particular contestant is subject to disqualification.
- What to Wear and What Not to Wear in Your Video/Photo Submissions: Please wear clothing - no nudity is allowed. Please do not wear any clothing items bearing designer, sports or any other logos or brand names, or bearing the name or likeness of any celebrity, living or dead. If you appear nude or wear clothing that depicts any prohibited material, you are subject to disqualification and/or your video is subject to removal from the site.
Deadlines: The important dates and deadlines for the competition are as follows:
9:00 a.m. PST, August 1, 2007 | The competition is open for entries.

It is suggested that you enter and upload all required content as early as possible because the public will have more time to see your materials and vote for you. Notwithstanding the foregoing, Producer shall have the right, at any time and in its sole discretion, to extend and or revise the foregoing deadlines.
Voting: The public will cast votes to determine the ultimate winners of the competition. To be part of the voting community, voters must log on to the competition website www.flavoroflovecasting.com, and register to vote by creating a user profile. Voting is limited to 1 vote per person / per day. Voting results (vote accumulation) will be displayed on each contestant profile until the final week of voting, at which time, the top 10 contestants' vote totals will not be displayed to the public. Producer reserves the right, in Producer's sole discretion, to take whatever remedial action Producer deems appropriate in Producer's sole discretion if Producer determines there has been any interference or manipulation of the voting tabulation, including, without limitation, to terminate the account of any voter or contestant who Producer suspects of interfering with or manipulating the voting results on the site, to disqualify any voter or contestant involved with the manipulations, and/or to report any manipulations or interference to the authorities when such action is warranted.
Paperwork: You are required to fill out, sign and agree to all of the terms and conditions of the Producer's required forms. Contestants will be asked to provide required information and agree to the terms and conditions of the Online Audition Application and Agreement during the video upload process. If you are among the top contestants in the competition, you will be required to fill out, sign and agree to all of the terms and conditions of additional forms, including without limitation, our standard participant release contract. In addition, you should read and comply with the online Terms of Use, Privacy Policy and Copyright Policy [insert links]. You will also be subject to a thorough background investigation and medical and psychological examinations, all at Producer's sole discretion.
ALL FORMS MUST BE FILLED OUT COMPLETELY AND TRUTHFULLY. IF YOU FAIL TO COMPLETE ANY FORM, GIVE ANY FALSE INFORMATION, OR FAIL TO REVEAL ANY PERTINENT INFORMATION, YOU MAY BE DISQUALIFIED FROM THE COMPETITION. Producer reserves the right to disqualify competitors for any violation of the contest rules, regulations, and/or submission requirements.
Results: On September 5, 2007, the 10 contestants who satisfy all other competition requirements and who have the highest number of votes will be announced online (date subject to change). The top 5 contestants with the highest number of votes, who are determined to be the winners, will be announced on a VH1 televised casting special (or as part of the first episode of the Program), at a place, date, and time determined by Producer. Producer may also elect, in Producer's sole discretion, to announce the 5 winners online rather than on a televised special (or as part of the first episode of the Program). The top 5 winners will be announced no later than initial broadcast of the first episode of the Program. In the event insufficient number of contestants satisfactorily complete the background check, medical or psychological exams, or because contestants are disqualified for failing to comply with the competition rules and guidelines, or are disqualified for any other reason, then only the number of contestants who have satisfied all competition requirements will be determined to be the winners of the competition, or if no contestants have satisfied all competition requirements, then there will be no winner. Results may also be obtained after initial broadcast of the casting special (or first episode if there is no casting special) by sending an e-mail to: FOL3onlineresults@51minds.com
GENERAL CONDITIONS
Disqualifications: Producer's decisions with respect to disqualification and elimination from the competition, eligibility, violation of the rules or other guidelines, misconduct, or any other matter respecting the competition shall be made in Producer's sole discretion and shall not be subject to challenge or appeal. Producer also reserves the right to change the rules and procedures at any time. Participating or being chosen to participate and/or compete does NOT ensure that you will be selected as a winner. Any failure to complete and pass the mandatory background checks, medical and psychological evaluations and/or any failure to complete the additional content submission requirements by stated deadlines may result in disqualification. The criteria for what constitutes "passing" the required background, medical and psychological evaluations is in the Producer's sole discretion.
No Compensation: All video recording, and other expenses for those participating in the competition will be the responsibility of the contestant. Expenses related to background checks, and medical and psychological evaluations will be paid by Producer. Payment of any transportation expenses will be at the sole discretion of Producer. During the competition, no one, including without limitation the winners who will appear on the Program, will receive any monetary or other compensation whatsoever. The chosen participants on the Program may be required to execute various contracts before they are allowed to appear on the Program, including a TV series contract, and/or a merchandise contract, and if any contestant fails or refuses to do so, another participant may be chosen. If any such contracts provide for compensation, the participants on the Program shall be solely responsible for all taxes on such compensation including income taxes.
Technical Requirements: All video and photo entries should conform to defined specifications and technical requirements will be posted on website. The technical specifications should be: Codec: MOV, MPEG, MPG, MP4, WMV, ASF, or AVI // Aspect Ratio: 4:3 // Frame Rate: 25fps or 30fps // Audio: MP3 audio codec // File size: Under 100Ms. Any failure to conform to technical specifications may result in video and/or photo submissions being removed from the site in Producer's sole discretion.
General Conditions: By participating, applicants agree to be bound by these rules (which Producer may change at any time in its sole discretion) and the decisions of Producer, and/or the voting audience, which shall be final and binding. Your appearance in an audition video, constitutes your consent and agreement to the recording and use of your performance, appearance, name, voice, singing voice, likeness and any musical or sound effects produced by you for use in connection with any television program, motion picture or the Internet for all purposes (including advertising, marketing, promotion, merchandising and the exploitation of any and all ancillary and subsidiary rights), as the same may be edited, in all media now known or hereafter created, throughout the universe, in perpetuity for no compensation, unless otherwise required by law. If you do not agree with these terms, PLEASE DO NOT PARTICIPATE IN THIS COMPETITION. Your failure to do so will be conclusively deemed to be a waiver of any and all claims for invasion of privacy, defamation, etc. under all federal, state and local laws. 51 Minds Entertainment, LLC, MTVN, Viacom, Pop Culture Productions, Inc. and the production personnel for the television program, the website, participating television stations, advertising agencies or any person or entity connected with the production, administration or judging of the auditions or the program, or any of their respective parent companies, affiliates, subsidiaries, agents or representatives are not responsible for and shall not be liable for: (i) any technical failure of the website including any failure to upload a video, the loss, deletion, alteration or destruction of any video or photo for any reason, or for any problems or technical malfunctions of any network or lines, computer on-line systems, servers or providers, computer equipment, software, failure of email on account of technical problems or traffic congestion on the Internet or at any website or combination thereof, including injury or damage to contestants or to any other person's computer related to or resulting from participating, uploading, or downloading materials in this online casting competition; (ii) any injuries, losses or damages of any kind caused by traveling to or from any appointments for background checks, or medical or psychological evaluations, participating in the competition or being selected to or disqualified from continuing in the competition and/or the Program; or (iii) any printing, typographical or technological errors in any materials or systems associated with the competition auditioning process, including but not limited to service failures, service interruptions, or security breaches. All entries, submissions, content uploads, and all other required submission content are the sole responsibility of the contestant. Void where prohibited.
